Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "you," or "your") and CryptoPayCheckout ("Company," "we," "us," or "our"), governing your access to and use of the CryptoPayCheckout platform, website at cryptopaycheckout.com, APIs, and all related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service. We reserve the right to update these Terms at any time. Material changes will be communicated via the email address associated with your account at least 30 days before they take effect. Your continued use of the Service after such notice constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater, to use the Service. By using the Service, you represent and warrant that you meet this age requirement. You must have the legal authority to enter into binding agreements. If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. The Service is available to residents of the United States and other jurisdictions where cryptocurrency payment processing is not prohibited by applicable law. You are solely responsible for determining whether your use of the Service complies with the laws of your jurisdiction.

3. Service Description

CryptoPayCheckout provides cryptocurrency payment processing infrastructure for merchants. The Service enables merchants to accept cryptocurrency payments from their customers through a hosted checkout experience, payment links, embeddable buttons, and a REST API. When a customer initiates a payment, cryptocurrency is sent to a platform-controlled wallet address. Upon blockchain confirmation, the Service automatically forwards the payment (minus applicable fees) to the merchant's designated payout wallet address. The Service supports multiple cryptocurrencies across various blockchain networks, as listed in the dashboard and documentation. The Service also provides optional currency conversion through third-party exchange services, enabling customers to pay with a cryptocurrency different from the merchant's configured settlement currency. The Service includes a merchant dashboard for transaction monitoring, webhook configuration, API key management, payment link creation, and account settings.

4. Account Registration and Security

To use the Service, you must create an account by providing a valid email address, a password, and optionally, a business name. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, API key, API secret, and webhook secret. You agree to notify us immediately at support@cryptopaycheckout.com if you become aware of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials. You may not share, transfer, or sell your account to any third party. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

5. Fees and Payment

The Service charges a per-transaction service fee, currently set at 1% of the transaction amount, which is deducted from each completed payment before forwarding to your payout wallet. In addition, a network fee is charged to cover the blockchain gas cost of forwarding cryptocurrency to your payout wallet. Network fees vary by blockchain network and are calculated dynamically based on current gas prices at the time of transaction completion. The exact fee amounts for each transaction are displayed in your dashboard. When currency conversion is used (customer pays in a different cryptocurrency than your settlement currency), the conversion spread charged by the third-party exchange provider is borne by the customer and is not an additional fee charged by CryptoPayCheckout. Merchants may configure their account to pass the service fee and network fee to the customer ("Customer Pays Fees" mode), in which case the payment amount is increased accordingly and the merchant receives the full order amount. We reserve the right to modify fee rates with at least 30 days' written notice via email. Fee changes do not apply retroactively to pending transactions. Custom fee rates may be negotiated for high-volume merchants at our sole discretion.

6. Payments, Forwarding, and Settlement

Cryptocurrency payments from customers are initially received by platform-controlled wallet addresses. Upon sufficient blockchain confirmations (the number of required confirmations varies by blockchain network), the Service will automatically forward the payment amount, minus applicable fees, to your designated payout wallet address. Forwarding is processed automatically by our system, typically within minutes of confirmation. You acknowledge and accept that: (a) blockchain transactions are irreversible once confirmed; (b) we are not responsible for delays caused by blockchain network congestion, high gas prices, or network outages; (c) if you provide an incorrect or invalid payout wallet address, funds may be permanently lost and we bear no liability for such loss; (d) transaction processing times vary by blockchain network and are outside our control; (e) the USD value of cryptocurrency may fluctuate between the time of payment and the time of forwarding; and (f) for transactions involving currency conversion via third-party services, additional processing time may be required. We do not guarantee any specific settlement time. Partial payments are detected and tracked; the checkout interface will prompt the customer to send the remaining amount to complete the transaction.

7. Wallet and Key Management

You are solely responsible for the accuracy and security of the payout wallet addresses you configure in your account settings. You must ensure that your payout wallet addresses correspond to the correct blockchain network for each configured currency. We validate wallet address formats but cannot verify wallet ownership or accessibility. The platform maintains its own wallet infrastructure for receiving and forwarding payments. Private keys for platform wallets are stored on secure servers and are never exposed through the API or dashboard.

8. API Usage

The Service provides a REST API for programmatic payment creation and status checking. Your API key authenticates requests to the API. You agree to: (a) keep your API key and API secret confidential; (b) not share API credentials with unauthorized parties; (c) implement reasonable security measures in your integration; (d) not exceed rate limits (currently 30 requests per minute per IP address); and (e) handle webhook payloads securely, including verifying HMAC-SHA256 signatures using your webhook secret. We may suspend API access if we detect abuse, excessive error rates, or security concerns. We reserve the right to modify the API with reasonable notice, and will make commercially reasonable efforts to maintain backward compatibility.

9. Webhooks

The Service sends webhook notifications to your configured webhook URL when payment events occur (e.g., payment detected, payment completed). Each webhook request includes an X-Webhook-Signature header containing an HMAC-SHA256 hash of the request payload, computed using your webhook secret. You are responsible for verifying webhook signatures and for handling webhook deliveries reliably, including implementing idempotency to prevent double-processing of events. We make commercially reasonable efforts to deliver webhooks promptly but do not guarantee delivery timing. Failed webhook deliveries are logged in your dashboard.

10. Prohibited Activities

You agree not to use the Service for any activity that: (a) violates any applicable federal, state, local, or international law or regulation; (b) involves money laundering, terrorist financing, tax evasion, or other financial crimes; (c) involves the sale of illegal goods or services, including but not limited to illegal drugs, weapons, stolen property, or counterfeit goods; (d) involves fraud, deception, or misrepresentation; (e) violates the intellectual property rights of any third party; (f) involves child exploitation material or human trafficking; (g) constitutes gambling in jurisdictions where online gambling is prohibited; (h) involves the operation of unlicensed money transmission services; (i) attempts to circumvent, disable, or interfere with the security features of the Service; (j) uses automated means to access the Service in a manner that exceeds reasonable use or places undue burden on our infrastructure; or (k) facilitates sanctions evasion or transactions involving sanctioned persons, entities, or jurisdictions as designated by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) or similar bodies. We reserve the right to suspend or terminate your account immediately and without notice if we reasonably believe you are engaged in any prohibited activity. We may report suspected illegal activity to appropriate law enforcement authorities.

11. Intellectual Property

The Service, including its software, design, logos, documentation, and all associated intellectual property, is owned by CryptoPayCheckout and is protected by United States and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or disassemble any part of the Service; (c) remove or alter any proprietary notices; or (d) use our trademarks without prior written consent. The embed button script and payment link functionality may be used on your website solely for the purpose of accepting payments through the Service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; (D) BLOCKCHAIN NETWORKS WILL OPERATE AS EXPECTED; OR (E) THIRD-PARTY EXCHANGE SERVICES WILL PROCESS TRANSACTIONS SUCCESSFULLY. YOU ACKNOWLEDGE THAT CRYPTOCURRENCY TRANSACTIONS INVOLVE INHERENT RISKS INCLUDING PRICE VOLATILITY, REGULATORY UNCERTAINTY, AND TECHNOLOGICAL RISKS, AND YOU ASSUME ALL SUCH RISKS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRYPTOPAYCHECKOUT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF CRYPTOCURRENCY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless CryptoPayCheckout and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any dispute between you and your customers regarding payments processed through the Service; (e) any taxes or regulatory obligations arising from your use of the Service; or (f) your negligence or willful misconduct.

15. Termination

Either party may terminate this agreement at any time for any reason. You may terminate by closing your account through the dashboard or by contacting support. We may suspend or terminate your account immediately and without prior notice if: (a) you breach these Terms; (b) we are required to do so by law or regulatory authority; (c) we reasonably believe your account is being used for prohibited activities; or (d) your account has been inactive for more than 12 consecutive months. Upon termination, any pending completed transactions will be forwarded to your payout wallet. We have no obligation to forward payments for transactions that have not yet been confirmed on the blockchain at the time of termination. Your obligation to pay any outstanding fees survives termination.

16. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Delaware. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. YOU AND CRYPTOPAYCHECKOUT EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. This arbitration provision shall survive termination of these Terms. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.

18. Taxes

You are solely responsible for determining and fulfilling any tax obligations arising from your use of the Service, including but not limited to income taxes, sales taxes, value-added taxes, and any reporting obligations related to cryptocurrency transactions. CryptoPayCheckout does not provide tax advice and does not withhold or remit taxes on your behalf. You acknowledge that cryptocurrency transactions may have tax implications in your jurisdiction and agree to comply with all applicable tax laws.

19. Force Majeure

CryptoPayCheckout shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, government actions, blockchain network failures or congestion, internet outages, power failures, third-party service provider failures, cyberattacks, or regulatory changes affecting cryptocurrency operations.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CryptoPayCheckout regarding the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
